Robert M. Aldrich represents investment funds in connection with all aspects of the purchase and sale of syndicated loans, restricted securities (debt and equity), bankruptcy claims and other high yield, illiquid assets. His practice includes: advising clients on legal issues; reviewing credit agreements, stockholders agreements, indentures, and other governing documents for transfer requirements and restrictions; analyzing and advising clients and negotiating with counterparties with regard to the quality of title being assigned; and assisting clients with managing inventory of loans so as to avoid or mitigate any potential legal issues. Mr. Aldrich also counsels privately-held businesses and individuals in connection with a range of transactions and issues, including business entity formation, regulatory compliance, corporate governance, vendor agreements, tax compliance issues and separation, release and non-compete agreements.
Prior to joining Porzio, Mr. Aldrich was a co-founder of AldrichEgg, LLC and the founding member of the Aldrich Law Group PC. Throughout his career, he has represented investment banks, trading desks, commercial banks, hedge funds and other financial institutions in connection with purchases and sales of distressed assets, secured and unsecured syndicated bank debt, mezzanine loans, insolvency claims, and debt and equity securities. In addition, he has represented businesses in a variety of corporate and commercial transactions, from startup entity formations to general commercial and corporate contractual issues to ongoing outside general counsel services.
Mr. Aldrich received both his B.A. and J.D. from Seton Hall University. He is licensed to practice in New Jersey.
