Thomas C. Egg represents investment banks, hedge funds and other sophisticated financial institutions in connection with the purchase and sale of various assets including syndicated loans, bankruptcy claims and restricted securities. He has advised clients in connection with investments in companies operating in a wide array of industries including, but not limited to, automotive, energy, financial services, insurance, gaming, media, internet, natural resources, healthcare, real estate, shipping and technology. Mr. Egg has extensive experience counseling clients with respect to the purchase and sale U.S. assets, and has also focused on assets located in various international jurisdictions such as (i) the United Kingdom, (ii) Germany, (iii) France, (iv) Australia and (v) Iceland. He assists clients contemplating participation in certain credit facilities or securities offerings by performing detailed analyses of pertinent governing documents and has considerable experience in the preparation and negotiation of loan and trade claims documentation under the both the LSTA and LMA regimes, as well as secondary market restricted securities assignment documentation. He is a member of The Loan Syndications and Trading Association and sits on several committees.
Mr. Egg's practice is also devoted to counseling clients in connection with a variety of general business matters including start-up entity formation, corporate governance, regulatory compliance, data privacy and security, as well as general commercial/corporate transactions. He is able to serve as outside general counsel on an as-needed basis. Mr. Egg has significant experience in the preparation and negotiation of a wide variety of business agreements including, but not limited to, shareholder agreements, operating agreements, employment agreements, independent contractor agreements and non-disclosure agreements. As a member of the International Association of Privacy Professionals, Mr. Egg is keenly aware of the critical role data privacy and security plays in today's rapidly evolving technological environment and is able to advise clients as to their responsibilities in protecting personal information.
Mr. Egg received his J.D. from Fordham University School of Law and his B.S. in Finance from the University of Colorado at Boulder. He is licensed to practice in New Jersey, New York and the Federal District of New Jersey, and has argued before the Superior Court of New Jersey and Supreme Court of New York. Mr. Egg is a member of the Hunterdon County Bar Association.
