Pam Kapsimalis, Principal at Porzio, Bromberg & Newman, P.C., is the chair of the firm's Corporate team. Pam has significant experience working on transactional matters, concentrating in the corporate, real estate, commercial lending, franchise, and general contract areas.
Leveraging her in-house experience, Pam works with corporate clients of all sizes to serve as their outside general counsel, providing a wide array of legal advice to help them achieve their business objectives. She is experienced in representing a variety of individual and corporate clients in business formation and dissolution, corporate governance and best practices, acquisition, financing and disposition of real estate, stock, assets, and inventory, and counseling on leasing, licensing, and general corporate matters.
Throughout her career, Pam has extensive experience with franchises, representing both franchisor and franchisee in the health and wellness, restaurant, retail and exercise industry. She also has developed an expertise working with product development, logistics and warehousing, having served as General Counsel to to one of the largest cold storage warehouse companies in the United States (Preferred Freezer Services).
Given the variety of Pam's experience, she is able to assist corporate clients with their business objectives and navigate through economic issues, such as COVID-19 and utilizing the CARES Act to provide economic relief.
Pam is also passionate about working with not-for-profit companies, both on a volunteer basis and as outside general counsel. She is active in the community and is an Emeritus Trustee for Kent Place School and the Summit Speech School. During her tenure as a Trustee for Kent Place School, she served as Head of the Development Committee and on the Executive Committee in supporting the school's $30 million capital campaign. She also served as a member of the Board of Trustees of the Summit Speech School and served on its Development Committee.
